    Role: Buy-side legal counsel

    Transaction value: €150M

    Jurisdictions: Malta

    Scope: Advised a Maltese gaming group on its acquisition of and investment in a leading market affiliation company. Full transaction management including structuring, due diligence coordination, drafting and negotiating Share Purchase Agreement, Investment Agreement, Shareholder s’ Agreements and ancillary documents, and closing mechanisms.

  • Transaction II - Corporate Restructuring & Redomiciliation

    Sector: Online Gaming / Technology

    Role: Lead legal counsel to majority shareholders

    Transaction value: €100M

    Jurisdictions: Sweden, Cyprus, Malta

    Scope: Advised majority shareholders on the acquisition and subsequent restructuring of an international gaming group, including redomiciliation from Cyprus to Malta involving approximately 150 shareholders. Acted as General Counsel for 24 months, overseeing corporate governance, shareholder matters, and ongoing commercial operations.

  • Transaction III - Legal Tech Exit

    Sector: Legal Technology / IP Services

    Role: Sell-side legal counsel and General Counsel

    Transaction value: €15M

    Jurisdictions: Malta, Sweden

    Scope: Advised founders on the sale of a Maltese IP and legal technology platform to a leading Swedish IP services group. Full transaction lifecycle from preparation through SPA negotiation and closing. Served as General Counsel to the target group for 24 months prior to the exit.

We specialise in the field of mergers and acquisitions (M&A) with extensive experience in, and heavy focus on cross-border transactions in and between Sweden and Europe; including acquisitions, exits, investments, joint ventures, RTOs and mergers. We advise clients throughout all stages of a transaction; planning and strategy, term-sheets, due diligence processes, the establishment and negotiation of transaction agreements and closing the deal. We have extensive experience working with all type of share or asset transactions that include a variety of earn-outs structures, incentive programs, and employment terms for founders and key employees. Interim Executive & M&A Integration

Most M&A advisers leave at closing. We stay. Our interim executive and integration services are 6–12 month assignments designed to support businesses through critical transitions, whether as interim CEO, during strategic growth phases, or through post-merger integration. Having personally led companies through fundraising, international expansion, and successful exits, we bring operator-level experience to every assignment, not just advice, but execution.

Meet the Founder Thor-Amadeus

With over 13 years of experience in corporate law and M&A, Thor-Amadeus Morillas has advised on more than 100 transactions with a combined value exceeding €500 million, spanning Europe, North America, and Asia across sectors including technology, gaming, e-commerce, financial services, and consumer brands. Having worked across private practice, in-house, and executive leadership roles, he brings a comprehensive understanding of how businesses grow, how transactions are structured, and what it takes to execute a successful exit.

What makes Thor-Amadeus different from most M&A lawyers is that he has been on the other side of the table. As CEO of a legal technology company, he took the business from spin-off to a successful exit within 24 months; leading the team, managing the P&L, raising capital, and ultimately negotiating and closing the sale. He has also led a consumer brand through its launch phase, securing over SEK 9 million in funding and achieving market entry across three countries. This hands-on experience as a founder and operator means he understands what his clients go through; the pressure, the pace, and the decisions that keep you up at night. That is why his advice is always commercially grounded.

With a multicultural background, fluent in English, Spanish, and Swedish, Thor brings a global perspective to his work, bridging cultures and industries with ease.



Thor-Amadeus holds a Master of Laws (LL.M.) from Örebro University, Sweden, with additional studies in International Business Law at the Chinese University of Hong Kong. His career spans private practice at Ashurst (Stockholm), in-house counsel roles at Brummer & Partners and Catena Media (Malta), and a judicial clerkship at Solna District Court.
